Corporate governance with co-determination — a key element of the European social model

Abstract

The competitiveness of European companies should not be evaluated exclusively on the basis of the profit they make on the stock market for their shareholders. This, at least, is the traditional way of seeing things in Europe and has hitherto been reflected in the national company legislation of the majority of EU Member States. In the EU, workers in 18 Member States have the right to be represented at board level, and the legislation on the European Company (SE) provides for this right as a matter of course. Statutory worker participation is not just a facet of European social policy, it is part and parcel of good corporate governance and should not be viewed by managers as something that is unnecessary and disruptive. Nevertheless, in a world where international stock market financing of companies is on the rise, worker participation has a fight on its hands to secure its institutional future.

La compétitivité des entreprises européennes ne devrait pas être évaluée exclusivement sur base des profits réalisés sur le marché boursier pour leurs actionnaires. Il s'agit là de la manière traditionnelle qu'a l'Europe de voir les choses et a été reflétée jusqu'ici dans la législation nationale des entreprises de la majorité des Etats membres de l'UE. Dans l'UE, les travailleurs de 18 Etats membres ont le droit d'être représentés au niveau du conseil d'administration; la législation sur la Société européenne (SE) prévoit ce droit automatiquement. La participation statutaire des travailleurs n'est pas simplement une facette de la politique sociale européenne; elle fait partie intégrante de la gouvernance des entreprises et ne devrait pas être considérée par le management comme quelque chose qui n'est pas nécessaire et qui a des effets perturbateurs. Néanmoins, dans un monde où le financement international du marché boursier des entreprises est en hausse, la participation des travailleurs doit relever le défi d'assurer son avenir institutionnel.

Die Wettbewerbsfähigkeit europäischer Unternehmen soll nicht allein am Börsengewinn für ihre Eigner abgelesen werden. Dieses — historische — europäische Verständnis spiegelt sich bis heute im nationalen Unternehmensrecht der meisten EU-Mitgliedsstaaten wider. In 18 EU-Ländern haben Arbeitnehmer das Recht, ihre Repräsentanten in die obersten Entscheidungsgremien zu entsenden. Die europäische Gesetzgebung zur Europäischen Aktiengesellschaft (SE) sieht dieses Recht standardmäβig vor. Obligatorische Arbeitnehmerbeteiligung ist mehr als europäische Sozialpolitik. Sie ist ein Teil von guter Unternehmensführung, und keine störende Zumutung für Manager. Allerdings wird sie um ihren institutionellen zukünftigen Platz in einer Welt steigender internationaler Börsenfinanzierung von Unternehmen streiten müssen.
